The course aims to (i) provide students with an in-depth understanding of Corporate Law in relation to the internal and external dealings of corporations; (ii) develops legal research and writing skills and (iii) focus on a number of topical areas relevant to the governance of corporations.
The relationship between the company and its directors, between the company and its shareholders, between shareholders and directors, and between shareholders. 
The appointment and removal of directors by shareholders and disqualification of directors. 
The director primacy model and the agency problem of corporations 
Stakeholders v shareholder primacy models of governance of corporations 
Remuneration of directors 
The Business Judgment Rule 
Shareholder remedies, including statutory derivative actions and oppression 
The market for corporate control (takeovers) as a governance device.
