Corporate Law: Finance and Governance

Course aim

The aims of this course are to provide students with an understanding of Corporate Law relating to the financing and governance of corporations and to develop legal research and writing skills.

Course content

Substantive topics canvassed include: 

• Basic principles of share capital, including regulation of share capital transactions
• Basic principles of loan capital;
• Corporate governance;
• Meetings;
• The relationship between the company and its directors, between the company and its shareholders, between shareholders and directors and between shareholders;
• Directors’ Duties;
• Members’ rights & remedies;

Other stakeholders – e.g. employees, creditors, community.
