Course aim

This course is to provide students with an understanding of Corporate Law relating to the nature, formation, management, financing, liquidation and regulation of the corporation.

Course content

The context of Australian Corporate Law – history; regulation; institutions.
Corporations compared with partnerships, joint ventures and unincorporated associations.
The incorporation process and the corporate constitution.
Company contracts.
Basic principles of share capital and loan capital.
An introduction to Director’s duties and liabilities; members rights and remedies.
Winding up of corporations.
